Please carefully read and understand the following Terms of Service "(Agreement") as they govern your use of our application (“App”) and our website (www.numeracyscreener.app) (“Website”), (collectively, the “Services”). Accessing our Website or using our App is the equivalent of you signing and accepting this Agreement and indicates your acceptance of applicable terms and conditions herein and that you intend to be legally bound by them. The terms in this Agreement may be updated from time to time, and it is your responsibility to review them periodically. Your continued use of the Services after any changes to these terms signifies your acceptance of those changes. In addition, each time you access our Website or use our App, you re-confirm your acceptance of this Agreement.
This Agreement is between you and Numeracy Screener (“Numeracy Screener”). When used in this Agreement, the terms “us”, “we” and “our” refer to Numeracy Screener and the term “you” means you as an individual using our Website or registering to use the App.

To access and use the App, you must register for a Numeracy Screener account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete. To complete your account registration, you must provide us with your full legal name, valid
email address, and any other information indicated as required. You must be the older than the age of majority in the jurisdiction where you reside and from which you use the App to open an account. You acknowledge that Numeracy Screener will use the email address you provide on opening an account or as updated by you from time to time as
the primary method for communication with you. You are responsible for maintaining the confidentiality of your account credentials, including username and password, and for all activities that occur under your account. Numeracy Screener cannot and will not be liable for any loss or damage from your failure to maintain the security of your account and password. We may request additional security measures at any time and reserve the right to adjust these
requirements at our discretion. You agree to notify us immediately of any unauthorized use of your account or any other breach of security.

You agree not to reproduce, duplicate, copy, sell, resell or exploit any portion of the Services without the express written permission of Numeracy Screener. limitations of the Services, use any tool to enable features or functionalities that are otherwise disabled in the App or decompile, disassemble or otherwise reverse engineer the Services. You agree not to access the Services or monitor any material or information from them using any robot, spider, scraper, or other automated means. Numeracy Screener may, at its discretion, suspend or terminate the accounts of users who violate this Agreement or engage in inappropriate conduct.

Except as otherwise stated explicitly in this Agreement, the Services are provided on an “as is” and “as available” basis without any warranty or condition, express, implied or statutory. Numeracy Screener does not warrant that the Services will be uninterrupted, timely, secure, or error-free. Numeracy Screener does not warrant that the quality of any products, services, information, or other materials obtained by you through the Services
is suitable for your particular purposes, including whether they will improve your students’ numeracy goals.
Numeracy Screener shall not be liable for any direct, indirect, incidental, special, consequential or exemplary damages, including but not limited to, damages for loss of use, loss of data or other intangible losses arising out of or relating to the use of or inability to use the Services (however arising, including negligence). In no event shall
Numeracy Screener be liable for any damages resulting from unauthorized access to or use of personal or health-related information entered into the App, or any changes made to such information by any unauthorized party.
While we implement reasonable security measures to protect personal information (including health information), you acknowledge and agree that Numeracy Screenerdoes not guarantee absolute security and shall not be held responsible for any breach of security, loss, or theft of your data due to events beyond our reasonable control,
including but not limited to, cyberattacks, technical failures, or natural disasters. You agree that you shall indemnify and hold harmless Numeracy Screener and its officers, directors, other users, employees, attorneys and agents from and against any and all claims, costs, damages, losses, liabilities and expenses (including reasonable legal fees
and costs) arising out of or in connection with: (i) your violation or breach of this Agreement or any applicable law or regulation; (ii) your violation of any rights of any third party; or (iii) your use or misuse of the Services.

This Agreement and its terms shall be governed by and construed in accordance with the laws of Ontario, Canada and to the fullest extent permitted by applicable law, you agree to irrevocably and unconditionally submit to the exclusive jurisdiction of the courts of the Ontario, Canada with respect to any dispute, controversy or claim arising out of or in connection with this Agreement or your use of the Services. The Services and their content are intended for use only in jurisdictions where they may lawfully be offered for use.

Where applicable, you hereby agree to opt out of any class proceeding against Numeracy Screener.

The failure of Numeracy Screener to exercise or enforce any right or provision of this Agreement shall not constitute a waiver of such right or provision. If any provision of this Agreement is found by a court of competent jurisdiction to be invalid, the other provisions of this Agreement will remain in full force and effect. We may assign, transfer,
or subcontract any or all of our rights or obligations under this Agreement to any third party without your consent or notice to you. This Agreement constitutes the entire understanding between you and Numeracy Screener and supersedes all prior agreements, whether oral or written, relating to your use of the Numeracy Screener Services.
